4. Channels of Communication
Edesa announces material information, including material financial information, to its investors using this Site, press releases, SEC filings, and public conference calls and webcasts. These are Edesa’s primary channels of communication with its shareholders. 10. Choice of Law
The Site is operated by Edesa from its offices in California, United States of America. As such, the Agreement shall be governed by and construed in accordance with the internal laws of the State of California, excluding its conflict of law provisions. You and Edesa agree to submit to the exclusive jurisdiction of the courts of the State of California and further agree that the exclusive venue for any cause of action arising under or relating to this Agreement shall be the Superior Court in and for Port Hueneme, California. You and Edesa agree that any cause of action arising out of or related to the Agreement must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.
You agree to fully defend, indemnify and hold harmless Edesa, its affiliates, officers, directors, employees, representatives, contractors and agents of and from any and all liabilities, claims, causes of action, demands, costs, damages including both direct and consequential damages, specifically including attorneys’ fees and costs, expert fees and costs and mediation and/or arbitration fees and costs incurred (whether paid or not) as the result of Your use of the Site or Your breach of any representations, warranties, covenants or obligations contained in this Agreement and any incident or claimed incident of any copyright, trademark or other intellectual property right of any third party which is in any way related to Your visit to the Site. Choice of counsel remains exclusively that of Edesa.
If any provision of the Agreement is determined by an arbitrator or court of competent jurisdiction to be contrary to applicable law, then such provision shall be construed as nearly as possible to conform to applicable law and the other provisions of this Agreement shall remain in full force and effect.The Agreement (i) constitutes the entire agreement between You and Edesa and supersedes all prior agreements between the parties regarding the subject matter contained herein, and (ii) may be modified or amended only in the manner expressly set forth herein. Edesa’s failure to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Edesa in writing.The section titles in the Agreement are solely used for the convenience of the parties and have no legal or contractual significance.
What Do We Do With The Information You Provide? We may ask You to provide information about You when You register. We use this information to communicate with our Site’s users.
